Terms of Service

The terms governing your use of the zung.ai platform, services, and all associated sub-brands. By using zung.ai, you agree to these terms globally.

1. Acceptance of Terms

By accessing or using the zung.ai platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the platform. These terms apply to all users globally — institutions, administrators, developers, and end members where applicable.

Institutions using zung.ai under a Master Services Agreement (MSA) are governed by that agreement in conjunction with these terms. Where an MSA conflicts with these terms, the MSA prevails globally.

2. Platform Services

zung.ai provides an AI-native core banking platform including: real-time general ledger, loan management, savings products, AI credit scoring, fraud detection, compliance automation, member-facing digital channels, and managed cloud infrastructure globally.

  • Services are provided on a subscription basis per the chosen plan (Starter, Growth, Scale, or Enterprise)
  • Platform availability is subject to the 99.99% SLA in Section 6
  • New features are released continuously; material changes are communicated 30 days in advance
  • zung.ai reserves the right to deprecate features with 90 days notice globally

3. Accounts & Access

Institution administrators are responsible for managing user access, maintaining credential security, and ensuring compliance with Role-Based Access Control policies. zung.ai is not liable for unauthorised access resulting from credential compromise on the institution side globally.

⚠️ Institutions must immediately notify zung.ai at security@zung.ai of any suspected unauthorised access or security incident globally.

4. Payment & Billing

Subscription fees are billed monthly or annually as chosen at sign-up. Annual subscriptions receive a 20% discount and are non-refundable after the first 30 days. Monthly subscriptions can be cancelled with 30 days notice globally.

  • Pricing is per-member based on active members in the previous billing period
  • Invoices are issued on the 1st of each month for the prior period
  • Payment is due within 30 days of invoice; late payments accrue 1.5% monthly interest
  • Failed payments result in a 14-day grace period before service suspension globally

5. Data & Intellectual Property

Institution data and member data remain the property of the institution at all times. zung.ai processes this data solely to provide the platform services described in the agreement. zung.ai retains ownership of the platform, AI models, algorithms, and all underlying technology globally.

Institutions may export their data at any time through the platform. On contract termination, zung.ai provides a full data export within 30 days and retains data for 90 days before permanent deletion globally.

6. Service Level Agreement

zung.ai guarantees 99.99% platform availability (approximately 52 minutes downtime per year). Availability is measured monthly across all core platform components. SLA credits are issued automatically when availability falls below the guarantee globally.

💳 SLA credits: 99.9%–99.99% = 5% credit | 99.0%–99.9% = 15% credit | Below 99.0% = 30% credit. Credits are applied to the next invoice automatically globally.

7. Liability & Disclaimers

zung.ai's total liability for any claim is limited to the fees paid by the institution in the 12 months preceding the claim. zung.ai is not liable for: indirect or consequential damages; lost profits or revenue; loss of data (beyond the data migration guarantee); or force majeure events globally.

AI credit decisions, fraud alerts, and risk scores are tools to assist institution decision-making — they are not guarantees of outcome. Institutions retain full responsibility for lending decisions made using zung.ai AI outputs globally.

8. Term & Termination

Monthly subscriptions continue until cancelled with 30 days written notice. Annual subscriptions run for 12 months and auto-renew unless cancelled 60 days before renewal. Either party may terminate immediately for material breach after 30-day cure period globally.

9. Governing Law

These terms are governed by the laws of England and Wales for global deployments, unless a local MSA specifies otherwise. Disputes are resolved by binding arbitration under ICC rules, with proceedings in London, unless local law requires local jurisdiction globally.
